2. Intellectual Property Rights
 
2.1 Ownership of Content
 
All content created, produced, or edited by Sam Irwin Media, including but not limited to video footage, audio, graphics, AI-generated videos, and other media content (collectively, "Content"), is the exclusive property of Sam Irwin Media unless otherwise agreed upon in writing. You may not reproduce, distribute, modify, or create derivative works from our Content without prior written consent from Sam Irwin Media.
 
2.2 License to Use
Upon full payment for the Services rendered, Sam Irwin Media grants you a non-exclusive, non-transferable license to use the final Content for the purposes agreed upon in the project contract. Any additional use or distribution of the Content requires explicit written permission from Sam Irwin Media.

3. Use of AI-Generated Video
 
3.1 Overview
Sam Irwin Media may utilize advanced artificial intelligence technologies to produce and edit video content. By using our AI video production services, you acknowledge and agree to the following:

• AI-generated content may include, but is not limited to, synthetic audio, video, and graphical elements.

• While we strive for the highest quality, AI-generated content may have limitations and may not always achieve the exact desired outcome.
   

3.2 Responsibility
You are responsible for ensuring that any data or material you provide to Sam Irwin Media for use in AI-generated video production does not infringe on the intellectual property rights of third parties and complies with all applicable laws.
 
4. Limitation of Liability
4.1 No Warranties
Sam Irwin Media provides the Services on an "as-is" and "as-available" basis. We make no warranties or representations, express or implied, about the accuracy, completeness, reliability, or suitability of the Services for any purpose.
 
4.2 Limitation of Damages
To the fullest extent permitted by law, Sam Irwin Media, its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Services; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from our Services; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party; or (e) any errors or omissions in any content or for any loss or damage of any kind incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available via the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not Sam Irwin Media has been advised of the possibility of such damages.
 
4.3 Indemnification
You agree to indemnify and hold harmless Sam Irwin Media and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, actions, demands, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of another.
 
5. Payment Terms
5.1 Payment Schedule
All payments for Services rendered by Sam Irwin Media must be made in full within three (3) weeks from the date of the invoice. Failure to make payment within this timeframe may result in suspension or termination of Services.
 
5.2 Late Payments
If payment is not received within three (3) weeks, a late fee of [Insert Late Fee Amount or Percentage] may be applied to the outstanding balance. Continued failure to pay may result in legal action to recover the owed amount and associated costs.
 
6. General Provisions
6.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Western Australia], without regard to its conflict of law principles.

6.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the [Public Service Arbitration Act, 1966-1975], and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

6.3 Changes to Terms
Sam Irwin Media reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
 
6.4 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
 
6.5 Entire Agreement
These Terms constitute the entire agreement between you and Sam Irwin Media regarding the use of the Services and supersede any prior agreements between you and Sam Irwin Media.
